1. The agreement
These terms are a contract between Upstal ("Rovalty") and the business installing or using the Rovalty app or creating a Rovalty account on the web ("Merchant", "you"). You accept them by installing the app or creating the account, and you represent that you are authorized to bind the Merchant. Your customers' and creators' personal data is handled per our Privacy Policy.
2. The service
Rovalty lets you run creator campaigns paid on video performance: creators make videos with your assets and earn per 1,000 tracked views, within the limits you set. The service includes a white-label creator page (on your storefront for a Shopify store), submission review tools, official-API view tracking, a creator earnings ledger, and the weekly payment statements you settle directly with creators (§5).
You may list your program on the Rovalty marketplace at rovalty.com/marketplace from your settings, and remove it at any time. A listed program shows your brand, your live campaigns, the ratings and reviews of creators you have paid, and how many of your statements you paid by their due date. A program shows only while it accepts creators, runs a live campaign and has no statement overdue past its grace period. Reviews are the creators' own: Rovalty does not edit them and hides only those that break the creator terms.
3. Plans, billing, and usage limits
- Subscription fees for a Shopify store are billed through Shopify managed pricing; for an account created on the web, by card through our payment processor, Creem. Plan features and monthly tracked-view limits are shown at purchase. Rovalty may also grant a plan without charge, for the period it states.
- When a monthly tracked-view limit is reached, view tracking pauses until the limit resets or you upgrade. Tracking that resumes counts views accrued during the pause; pausing never erases creator earnings already accrued.
- A lifetime-deal license purchased through AppSumo maps to equivalent plan entitlements once Rovalty has bound it to your account; AppSumo's own refund terms govern those purchases.
4. Campaign budgets
- You set the economics of each campaign: rate per 1,000 views, minimum view threshold, per-video cap, and total/monthly budget. Creator earnings accrue automatically against those settings while a campaign is active.
- Your budget is a hard ceiling. Obligations to creators can never exceed the budget you declared: every accrual is bounded by the threshold, the per-video cap and the remaining budget, and when a budget is exhausted the balance is divided pro rata among the videos then tracking and accrual stops.
- Rovalty takes no fee and no cut of what you pay creators. Your only payment to Rovalty is your subscription. What you owe creators, you pay them directly (§5).
5. Paying creators: you are the payer of record
Rovalty never holds, receives, or transfers funds. You pay each creator directly from your own account, using a payment method they have registered (PayPal, bank transfer, Wise, or Payoneer; each campaign declares which it supports). You are the payer of record and remain solely responsible for the amounts you owe. Rovalty is not a bank, a payment processor, an escrow agent, or a guarantor.
- Weekly statement. Your settlement period closes Mondays at 00:00 UTC covering the previous week. Rovalty issues a statement listing each creator, the amount owed, and the payment details they registered. Lines under $25 carry forward.
- Payment is due 7 days after the statement is issued. Pay each line and record the payment reference, method and date in your statement view.
- Confirmation. The creator confirms receipt, or the line auto-confirms after 7 days. A disputed line goes to Rovalty review, where your payment reference is weighed against the creator's account; a ruling may adjust the recorded balance.
- Consequences of non-payment. Overdue statements trigger reminders, then, if they remain unpaid 7 days past due, automatic pausing of your campaigns until every overdue line is settled. Amounts owed remain owed regardless, and unpaid obligations may end your access.
- Accuracy. Marking a line paid when you have not paid it, or entering a false payment reference, is grounds for immediate termination.
6. Products and your contact details
Rovalty does not ship, order or track products. If you want creators to feature a product, you arrange it with them directly: the contact details you enter in Settings are shown to creators on every campaign, and any product you send is at your own cost and on terms you agree between you. Rovalty is not a party to that arrangement.
7. Content rights
Rights to creator content are granted to you directly under the Creator Terms: a promotional-use license for campaign videos. You are responsible for your use of the content complying with applicable advertising law (including FTC/ASA-style disclosure rules) and platform policies. Footage you provide to a campaign, as links or uploaded files, must be yours to share; you grant the creators taking part a license to use it in videos for that campaign.
8. Your obligations
- Provide accurate campaign briefs and product information; review submissions in good faith and within a reasonable time.
- Sell only lawful products. Campaigns are not permitted for weapons and ammunition, adult content or sexual services, regulated pharmaceuticals and controlled substances, tobacco, vaping and nicotine products, gambling and betting, cryptocurrency and speculative financial products, counterfeit goods, or health and weight-loss products making medical claims.
- Settle campaign work through the statements Rovalty issues, so that tracked obligations, payment references and confirmations stay on record. Paying a creator you met through Rovalty for campaign work without recording it against the statement defeats the evidence trail both sides rely on.
9. Fraud and disputes
We may withhold, reverse, or claw back creator earnings that our review determines to be fraudulent (e.g. artificial views), and may suspend accounts involved. Earnings disputes between you and a creator are first mediated through the platform's review tools; our determinations of tracked metrics are made from official platform API data.
10. Termination
You may uninstall the app, or close an account created on the web, at any time. Either deactivates your creator page and stops new accruals, but does not extinguish amounts creators have already earned; those remain payable, and §4–5 survive until settled. On uninstall or closing, every amount still in its hold period is released and billed on one final statement, emailed to you with a link to record each payment; no weekly statements follow. We may suspend or terminate for material breach, fraud, or legal necessity.
11. Disclaimers, liability, and general
The service is provided "as is"; we do not guarantee campaign outcomes, creator conduct, or uninterrupted availability of third-party APIs the tracking depends on. To the extent permitted by law, Rovalty's aggregate liability under these terms is capped at the subscription fees you paid in the 12 months preceding the claim, and neither party is liable for indirect or consequential damages. You will indemnify Rovalty against third-party claims arising from your products or your use of creator content. These terms are governed by the laws of Bangladesh, with exclusive venue in the courts of Dhaka. We may update these terms with 14 days' notice; continued use after the effective date is acceptance.
